1. Introduction

Welcome to RestoreGen! We provide AI-powered lead generation, marketing automation, CRM setup, Meta/Facebook advertising management, appointment booking, and related digital marketing services primarily for water damage restoration, mold remediation, fire restoration, and related home service businesses.

By accessing our website, purchasing our services, or signing a service agreement, you agree to these Terms of Service (“Terms”). If you do not agree, do not use our services.

2. Services

Our services may include, but are not limited to:

• AI-driven lead generation and qualification

• CRM, pipeline, and workflow automation

• Paid advertising management (primarily Meta/Facebook Ads)

• Funnel, landing page, and website optimization

• Automated appointment booking and conversations

• Call tracking and lead analytics

We reserve the right to modify, suspend, or discontinue any specific feature or software configuration within our services at any time.

3. No Guaranteed Results & Ad Performance

While we utilize advanced data-driven strategies to optimize lead flow, digital marketing is inherently subject to external variables.

Performance Disclaimer: RestoreGen does not guarantee specific revenue increases, an exact number of leads, conversion rates, close rates, or platform ad performance.

Marketing performance depends heavily on factors outside our control, including local market competition, weather events, client response times, client sales execution, third-party algorithm updates, and your regional advertising budget.

4. Client Responsibilities & Industry Compliance

As a client of RestoreGen, you strictly agree to:

• Provide wholly accurate, truthful, and non-deceptive business information.

• Maintain all required professional licenses, environmental certifications (e.g., IICRC, mold remediation licenses), and general liability insurance required by the State of Florida and your local municipalities.

• Respond to generated leads in a timely manner; RestoreGen is not responsible for dead leads due to delayed client follow-up.

• Comply with all federal, state, and local laws regarding your physical restoration services.

5. Payments, Billing, and Suspension

• Billing Terms: Fees are outlined in your specific proposal, invoice, or electronic authorization. Payments are due automatically on your designated recurring billing date.

• Late Payments: If a payment fails or is overdue by more than three (3) business days, we reserve the right to immediately suspend your active ad campaigns, CRM access, and lead automation workflows without liability for missed business.

• Refund Policy: Due to the custom asset creation and immediate software allocation required for our services, all fees paid are non-refundable unless explicitly stated otherwise in writing.

6. Third-Party Platforms and Infrastructure

Our systems integrate with third-party software including Meta/Facebook Ads, GoHighLevel, Twilio, Stripe, and OpenAI.

We are not liable for business interruptions, API failures, platform outages, data loss, or sudden account suspensions executed by these third-party providers.

You acknowledge that Meta platforms enforce strict policies regarding advertising compliance and that account flags or disruptions caused by client-provided content are the sole responsibility of the client.

7. Telemarketing & Communication Compliance (TCPA & FTSA)

If our services utilize text messaging (SMS), automated ringless voicemails, or automated dialing systems:

The Consent Mandate: You, the client, warrant that any customer data or lead lists uploaded into our systems have given explicit, prior written consent to be contacted via automated means, in strict compliance with the Federal Telephone Consumer Protection Act (TCPA) and the Florida Telephone Solicitation Act (FTSA).

Opt-Outs: All automated SMS workflows will include a standard opt-out mechanism (e.g., "Reply STOP to unsubscribe"). You agree not to override or bypass these system safeguards.

8. Proprietary Intellectual Property

All custom-built AI prompt structures, GoHighLevel snapshots, proprietary snapshot automations, ad copy frameworks, workflows, and landing page designs developed by RestoreGen remain our exclusive intellectual property.

Granted access is for your internal business use only.

You are strictly prohibited from reselling, licensing, duplicating, or reverse-engineering our proprietary systems or sharing account access with competing marketing agencies.

9. Confidentiality

Both parties agree to protect and maintain the strict confidentiality of proprietary data exchanged during this engagement. This includes proprietary operational processes, lead data lists, financial metrics, and access credentials.

10. Limitation of Liability

To the maximum extent permitted under Florida law, RestoreGen, its owners, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, lost profits, lost business revenue, cost of alternative advertising, platform bans, or property damage claims resulting from restoration work performed by your business.

10. Liability Cap

Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the exact total amount paid by you to RestoreGen within the thirty (60) days immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless RestoreGen from and against any claims, damages, liabilities, losses, costs, or legal expenses (including attorney's fees) arising out of:

Your breach of any provision within these Terms.

Violations of the TCPA or Florida FTSA due to data lists provided by you.

Any consumer disputes, property damage, bodily injury, or construction defects tied to water, fire, or mold remediation services performed by your business.

12. Termination

Either party may terminate services at any time by providing written notice via email prior to the next billing cycle, subject to any minimum term commitments specified in your primary proposal. Upon termination, your access to our custom CRM workflows, active ad accounts managed by us, and proprietary automations will be deactivated.

13. Governing Law & Dispute Resolution

These Terms and all aspects of our business relationship shall be governed solely by the laws of the State of Florida, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of these Terms must be brought exclusively in the state or federal courts located in Florida.
